1. DEFINITION OF TERMS USED IN THE RULES
1.1. Club - VšĮ "Žalgirio krepšinio centras", legal entity code 302811111, registered office address: Karaliaus Mindaugo pr. 50, LT-44334, Kaunas.
1.2. Application - the Žalgiris mobile application, which enables subscription to the Club's exclusive content and access to the Application's functionalities.
1.3. Website - zalgiris.lt website, which enables subscription to the exclusive content of the Club and use of the functionalities of the Website.
1.4. User - a natural or legal person who uses the Mobile Application or the Website.
1.5. Subscriber - a natural or legal person who purchases a subscription to the Mobile Application or the Website.
1.6. Subscription - the right to view the content package and functionalities specified and described in the Application or the Website created by the Club.
1.7. Guest - Content made available free of charge to unregistered users of the Application or Website.
1.8. Registered Users - Content made available free of charge to registered users of the Application or Website.
1.9 Insider Premium User - a natural/legal person with a subscription.
1.10. Content - means direct and indirect video, written, audio and visual content uploaded to the Application or Website by the Club.
1.11. Plan - means a particular set of Content contained in the Application and the Website which is sold to the Subscriber for a monthly fee.
1.12. FAQ Section - the Club's up-to-date information providing answers to the most frequently asked questions by Customers.
1.13. Experience Points - the Club provides the User with the opportunity to collect Experience Points (hereinafter referred to as "XP"), which are necessary to increase the level of the User's profile. The Zalgiris App awards XP for the results of profile registration, quizzes and challenges.
1.14. Virtual points - Users participating in the Predictions and Challenges are awarded Virtual Points (VP) in the Zalgiris App based on their results. The number of VPs earned by the User is displayed in the profile section.
2. GENERAL PROVISIONS
2.1. VšĮ "Žalgirio krepšinio centras", legal entity code 302811111, registered address: Karaliaus Mindaugo pr. 50, LT–44334, Kaunas, Lithuania (hereinafter referred to as the "The Club"), order to provide detailed information on the purchase, use, conduct and other related procedures and conditions of the Zalgiris Application (hereinafter - Application) or the Website, has prepared the following rules for the purchase and sale of the Zalgiris application and website (hereinafter referred to as the Rules).
2.2. The User must read and comply with these Regulations before using the Application or the Website. The User's use of the Application and the Website and any activity therein, including but not limited to reading the published information, participating in surveys or any other function described in paragraph 2 under the main function of the Application, shall be deemed to constitute the User's acknowledgement and acceptance of these Terms. If the User does not unconditionally accept these Terms and Conditions, the User is not entitled to use any of the services provided by the Application or the Website and should immediately cease using the Application and the Website.
2.3. The Club reserves the right to update and/or modify these Rules at any time without separate notice. The updated and/or modified Rules come into effect on the day they are published on the website. Therefore, it is recommended for the buyer to periodically review the Rules, paying attention to the date of information update, which is provided at the top of the Rules' text.
2.4. If these Rules differ from other rules and information provided by the Club in writing or verbally, the buyer must always follow these Rules.
2.5. The terms written with an initial capital letter in these Rules must be understood and interpreted based on the definitions provided in the Terms (Section 1. Definition of Terms Used in the Rules) section.
3. APPLICATION AND WEBSITE USAGE INFORMATION
3.1. The Application and the Website, with free content and paid functionality, with additional paid functionality, themed content on the Application and participation in additional entertainment activities. The Application and the Website are divided into three categories: Guest, Registered User and Insider (Premium) User. The content that is visible depends on the type of User (the amount of content and options available may vary according to the Club's needs):
3.1.1. Guest Content - game related features (game information), live score and stats tracking (team and player stats), limited viewing of game related videos and free Club News.
3.1.2. for Registered Users - participation in game chats and questions, commenting and liking free articles.
3.1.3. Insider Premium Users - Monthly or Annual Memberships provide additional money (which may be changed and/or cancelled by the Club), all Insider content (not available to Free Users), additional scoring, Ask the Interviewer questions and Insider entertainment (to be announced separately by the Club).
3.2. Subscription to the App Plan is available via the Mobile App and the Website and the content available on the App and the Website will vary depending on whether the User has a Free or a Paid Account. By creating an Account, the Subscriber confirms that the information provided by the Subscriber is accurate and that the Subscriber is responsible for updating the information in a timely manner. By creating an account, the subscriber confirms that the information provided by him/her is correct and that he/she is responsible for updating the information in a timely manner.
3.3 For the purposes of these Terms and Conditions, the Club will collect, use, store and otherwise process information about Subscribers as set out in the Club's Privacy Policy, which is available online at https://zalgiris.lt/en/privatumo-politika. By subscribing to the Content, the Subscriber is deemed to have read the Club's Privacy Policy.
3.4. Subscribers must be at least 13 years old. Parents or guardians of minors are responsible for notifying the Subscriber of the successful subscription order and confirmation of the selected plan. Subscribers will be notified of the selected plan upon registration and payment by sending a confirmation email to the email address provided.
3.5. Subscriptions to the App and the Website are for the use of one Subscriber only and are linked to the email address provided. A Subscriber may access the account using 1 (one) smart device at a time.
3.6. The subscription can be ordered for a period of 1 (one) month or 1 (one) year. If the Subscriber cancels the Subscription early, the Subscription will remain active until the end of the Subscription period and the Club will not refund the paid subscription fee.
3.7. The Club may offer new Subscribers who are not yet and/or have never accessed the Application or the Website a free trial of the Application and the Website for a specified period of time ("Trial Period"). At the end of the Trial Period, if the Subscriber has not taken any active steps to cancel the use of the Application and the Website, the Subscriber's membership shall automatically become a paid membership and the Subscriber shall be obliged to pay the monthly subscription fees. The Subscriber shall not be entitled to a refund of the paid subscription fee if the Subscriber cancels the subscription after the end of the trial period. In such a case, the Subscriber must cancel the Subscription in accordance with the general cancellation procedure set out in Article 3.14.
3.8. The Subscriber will be notified of the successful payment of the Membership by email with a confirmation of purchase.
3.9. The prices of the subscription plans are published on the mobile application and on the website. The price of the Subscriber's Subscription shall be determined in accordance with the rates of the Club's Subscription plans applicable at the time of purchase.
3.10. The Club reserves the right to change the prices of the Subscription Plans and/or change the content, features and entertainment of the Plans at any time. Any updates will be effective from the date of their publication on the Website and will apply to all new Subscribers and/or Subscribers who have renewed their accounts after a break.
3.11. Subscribers who had an active Subscription at the time of the changes will be notified of changes to Plan prices and/or Plan content at least 14 (fourteen) calendar days prior to the next Membership payment date, giving the Subscriber the opportunity to decide whether to continue using the Subscription. The Subscriber will be given the option of canceling the Subscription or renewing the Subscription in accordance with the updated terms and conditions in the information email(s) provided. If the Subscriber does not make an active choice, the Membership will automatically terminate.
3.12. The subscription is continuous and is automatically renewed in accordance with the chosen subscription period (monthly or yearly) in which the first payment was charged. A subscriber who wishes to cancel the subscription before the next payment date must take active steps to cancel the subscription in their account. In the event of cancellation of the Subscription, the Plan price paid by the Subscriber will not be refunded and/or compensated.
3.13. If the monthly subscription fee is not automatically debited from the Subscriber's credit card on the due date, the Subscription will be automatically terminated. In such a case, the Subscriber may renew the Subscription by logging into his/her account and re-submitting the details required for payment and/or correcting any other deficiencies that led to the termination of the Subscription.
3.14. Information on how to cancel your subscription is set out in the "My Account" section. Termination of the Subscription shall take effect at the end of the period for which the Subscription fee has already been paid, i.e. one calendar month and/or one calendar year after the last payment. Until the end of the subscription month and/or year, the Subscriber will continue to be able to view the full content. After the calendar month following the last payment, the new payment will not be charged, the Subscription will not be renewed and the Subscriber will no longer be able to view the Application and the Website Content included in the paid plan.
3.15. The Subscriber may only change from the current plan to a less expensive or more expensive plan upon expiry of the current monthly and/or annual plan. After this period, the Subscriber may choose an alternative.
3.16. All Subscribers shall observe good ethics and morals in their dealings with other Subscribers and in their public statements on the Application or the Website. The use of obscene language, insults, defamatory language and defamatory remarks on the Application and the Website is prohibited.
3.17. The Application and the Website shall be free from spam, junk mail, advertising messages and content protected by copyright and trademark laws.
3.18. All Content contained in the Application and the Website is owned by the Club and no intellectual property rights in the Content published by the Club are transferred to the Subscribers, and accordingly, the Subscribers are prohibited from copying, distributing and/or otherwise publishing the Content contained in the Application and Website.
3.19. The Club shall have the right to suspend the Subscriber's Account and/or permanently delete the Subscriber's Account if the Subscriber is found to be in breach of Clauses 3.16, 3.17, 3.18 of these Terms. In such case, the paid Subscription Fee shall be non-refundable and the Club shall not be liable to indemnify the Subscriber for any losses incurred . If the Subscriber has caused additional damage to the Club by violation of the specified clauses of the Rules, the Club shall be entitled to demand that the Subscriber indemnify the Club for such damage.
3.20. Subscribers who notice technical problems and/or wish to submit requests or complaints regarding the services provided on the Application and the website must contact the Club by e-mail to [email protected].
3.21. VP can only be collected by participating in games/events offered by the Zalgiris App. There is no way to buy VPs for money on the App or exchange them with other Users to avoid buying or selling VPs. VPs are not owned and the User has no rights or interests in them. Any suspected unauthorised use of an account and prizes redeemed for accumulated VPs, i.e. selling an account with a large amount of VPs, creating fictitious accounts, reselling coupons, discounts or tickets received for VPs, shall entitle the Club, upon reasonable excuse, to remove the VPs held, restrict prize withdrawals, or block the account indefinitely.
3.22. In exceptional cases, the provision of the XP and/or VP to a User may be delayed. If the User believes that the XP and/or VP he/she has received does not correspond to the information in his/her profile. The User must contact the Club Representative within 2 (two) calendar days. If the User does not contact the Club Representative within the specified time, the error shall be deemed not to have occurred and shall not be corrected. Zalgiris App Representatives reserve the right to deal with each case individually.
3.23. Collected VPs may be redeemed for prizes offered at the time, which may be announced on the App at the discretion of the Club. Zalgiris reserves the right to limit the number of times a User may redeem the same prize offered for VP. Depending on the desired prize and the number of units offered, a voucher, a 100% discount or a ticket to a specific event will be offered. If the VP is not sufficient, no voucher, discount or ticket will be offered. The Club does not allow the User to pay for any or all of the prizes in cash.
3.24. Delivery of physical prizes may be subject to separate charges depending on the delivery method chosen. The exact delivery fee will be indicated when selecting the delivery method using the voucher provided at the time of placing the order in the Zalgiris e-shop.
3.25. Once the exchange of the VP for a prize has been confirmed, the User may not cancel the use of the VP or return the prize. If the User believes that the prize he/she has received does not correspond to the information provided in the App, he/she must contact the Club Representative. The Zalgiris App Representatives reserve the right to deal with each case individually.
3.26. Vouchers and discounts are valid for a minimum of 3 months and a maximum of 6 months. In exceptional cases, the Club will contact the User directly to claim the prize. The Club reserves the right to change the validity period of coupons and discounts.
3.27. The Zalgiris App allows the User to participate in up to 4 (four) games/events per calendar week. After one week, the User may participate in the Games/events again.
3.28. Zalgiris Club will publish the XP of the User with the highest XP score in the App and the top 3 results of the season and month. Prizes may be awarded to Users with more XP.
3.29. The Club reserves the right, at its sole discretion, to cancel, amend, modify or discontinue, in whole or in part, the conversion of VPs into prizes, at any time, including any terms, conditions, rules, features, benefits, rewards, eligibility requirements, accumulation of XPs, VP conversion policy, VP expiration policy or any other aspect of the App, and such changes may affect your profile. Any such changes will be posted on the App. The posted changes will be effective immediately upon posting.
4. INSTALLATION, UNINSTALLING AND UPDATING OF THE APPLICATION
4.1. The installation of the Application on the User's mobile communication device ("Device"), whether a mobile smartphone or a tablet, varies depending on the operating system supported by the Device:
4.1.1. for the Android operating system On the Device, the App is downloaded from the Google Play App Store ("Google Play Store") by searching for the keyword "Zalgiris" and following the regular installation procedure.
4.1.2. On an iOS Device, the Application is downloaded from the App Store ("App Store") by searching for the keyword "Zalgiris" and following the regular installation procedure.
4.2. Once the Application has been installed, the User is advised to adjust the settings of the Application according to his/her personal needs from the available options. If the User does not select any settings, or if the User wishes to change the settings already selected, this can be done at any time in the Settings section of the Application.
4.3. The removal of the Application from the Device varies depending on the operating system supported by the Device:
4.3.1. On an Android operating system device, an application is installed by locating the application in the application menu of the device, clicking on its icon with your finger for a few seconds and then clicking on the 'uninstall' option in the pop-up menu. Alternatively, you can find the Settings application on your device, search for it by typing the keyword "Zalgiris", and then click "Uninstall" in the window that appears.
4.3.2. On an iOS device, the application is uninstalled by locating the application in the application menu of the device, keeping your finger on the application icon for a few seconds, and then clicking on the "delete application" option in the pop-up menu. Then, when the next permission to delete the application message pops up, click the 'delete' option.
4.3.3. When the App is uninstalled on a device that supports the Android or iOS operating systems, all App data is deleted from the device and from the servers that support the App.
4.4. Updating the Application is necessary to ensure optimal performance of the Application. Updating the Application on the Device will vary depending on the operating system supported by the Device and the User's preferences in the Device settings for the Application. If the user allows the device to automatically update the application, the user does not need to take any additional steps. If the user manually updates applications on the device, then:
4.4.1. On Android operating system device, the application is manually updated in the Google Play Store by searching for the keyword "Zalgiris". When the App is found in the Google Play Store search, the User must click on the icon marked "Update". This will update the App on the User's device and the User will be able to use the latest version of the App.
4.4.2. On an iOS device, the application is updated in the App Store. In its title window, click on the User's Account icon and select the "Update" option in the list next to the Application icon. The User must then click on the application icon, which consists of the Zalgiris Kaunas club logo on a green background. The User must click on the icon with the word "get". The application will then be installed on the device and the User will be able to use the latest version of the application.
4.4.3. The names of the Device options listed in paragraphs 4.1.1 - 4.1.2, 4.3.1 - 4.3.3 and 4.4.1 - 4.4.2 may differ from the names on the User's Device depending on the Device model and the language selected on the Device.
5. PROTECTION OF PERSONAL DATA ON THE APPLICATION AND THE WEBSITE:
5.1. By using the Application or the Website and providing any personal data to the Club, the User acknowledges that he/she is aware that the Club will manage and process any data or other information provided by the User and will use such information for the purposes of performing this Agreement (the "Terms"). Further details are set out in the Privacy Policy at https://zalgiris.lt/en/privatumo-politika. The Privacy Policy forms an integral part of the Terms.
5.2. Users may contact [email protected] with any questions regarding the processing of personal data in connection with the use of the Application and the Website.
6. FINAL PROVISIONS
6.1. Users who experience technical difficulties or have complaints regarding the use, functions or technical operation of the Application or the Website may contact [email protected].
